FTD, Inc. Signs Definitive Merger Agreement to be Acquired by Leonard Green & Partners

FTD Stockholders to Receive $24.85 Per Share in Cash


DOWNERS GROVE, Ill., Oct. 6 /PRNewswire-FirstCall/ -- FTD, Inc. (Nasdaq: FTDI - News) today announced the signing of a definitive merger agreement to be acquired by Green Equity Investors IV, L.P., an affiliate of Leonard Green & Partners, L.P.

FTD entered into the merger agreement following the unanimous recommendation of the members of FTD's Board of Directors. Under the terms of the agreement, FTD's stockholders will receive $24.85 per share in cash upon the closing of the merger. The aggregate value of the merger transaction is approximately $420 million. Goldman, Sachs & Co. acted as FTD's financial advisor in connection with the proposed transaction.

Robert L. Norton, FTD's Chief Executive Officer, will continue in his position following the merger. Mr. Norton will exchange a portion of his equity holdings in FTD for equity in the surviving company and other members of FTD management will be offered the opportunity to participate in similar exchanges. The balance of management's equity holdings in FTD will be acquired or canceled for the same consideration that all of FTD's other equity holders are receiving for their equity interests in the merger. FTD's principal stockholders, who collectively own approximately 72% of the outstanding shares of FTD's common stock, have agreed to vote their voting shares in favor of the merger.

The closing of the transaction is subject to certain terms and conditions customary for transactions of this type, including stockholder approval, receipt of antitrust clearance and the completion of financing. Stockholder approval will be solicited by FTD by means of a proxy statement, which will be mailed to FTD stockholders upon the completion of the required Securities and Exchange Commission filing and review process. The parties currently anticipate consummating the transaction in the first calendar quarter of 2004. The equity financing necessary for the transaction has been committed by Leonard Green & Partners, L.P., through Green Equity Investors IV, L.P., a $1.85 billion private equity fund, and the debt financing necessary for the transaction has been committed by Credit Suisse First Boston and UBS AG.

Does anyone think this merger will change many things with FTD? Will they still listen to us small little florists?

Honestly Luc,

I hope they do listen to Florists, big and small for the sake of the shops who is the bread and butter of the operation in my opinion.

Does make me somewhat suspicious who is behind the company in Los Angeles. Some fimilar sounding companies, but need to do more digging to confrim something.

In the grand sceme of things what impact do you think will it really have on your Business ? Just Curious
 
In the grand sceme of things for my company personally? If the company (FTD) goes in the similar direction as it has been.. More shops signing up. Bob Norton will still be at the helm from what I'm told, so it will be pretty much the same. If shops feel they aren't being heard, they will one by one look around for some other choices.

I would think it should help MAS also.
 
my guess is that the biggest shakedown and effects will be in the FTD home office. I have quite a bit of experience dealing with the Rite Aide group and they are not pleasant people to deal with. As is usual with private investment groups they tend to be more concerned about profit than anything else. I'm guessing that we will be seeing a lot of ship jumping in the next couple of months back at HQ
 
Yes, the Rite Aide group aren't consumer friendly. Something worth noting is they also own a Pet food company. :) I seem to recall talking about pet foods not so long ago (I was hinting as I knew this company was in the hunt for FTDI.) Something else we'll see is Cross marketing even more, as you will soon be able to place a FTD order and consumers will be able to pick up a FTD.COM order at a local Rite Aide pharmacy just like you would in a regular floral shop. Just watch and see, I for one am sorry to see that happen, but the writing is on the wall, think about the locations they have for furfillment for .COM orders, Alot of Florists won't take a .COM order, but they (hq) will pump it into a local pharmacy/furfillement location. This won't happen overnight however but within 2-3 years.

Perhaps I'm wrong, and I hope so. At the end of the day, it will encourage current FTD shops to divorce themselves from FTD because of it.

They have taken a once proud brand and destroyed it. You got a bunch of people running the company with no sense of how the flower business works.
 
I can see this happening also Peter. I know out here a lot of the Rite Aides already have a fairly large area set aside for blooming plants etc. It would be very easy for them to set up a floral dept also. And If my memory serves me right, the Rite Aide is the fourth largest discount/drug store chain in the country.
