Have I read correctly the report in Insider & Restricted Shareholder Transactions?

The cost of Soenen's acquisitions $2,068,100 since March 2007
The proceeds of Soenen's sales $5,176,520

NET GAIN $3,138,420 IN 9 MONTHS

How do FTD members feel about the how this is possible?
Could it all be that the FTD Florists are doing so well?

I am not a financial guru,
I have never followed the stock market goins' on [looks like I should]

I've just tried to make an honest living by doing what is right with the people I deal with; Customers, Employees, Vendors and myself last, probably not so smart.

I can no longer support Corporate America like I used to.
 
Tom, FTDI is a public company...so it goes....

I'd bet the Resnick's made much more themselves ;)

Thieves cloaked in a business suit and tie. Corporate greed. Mr. Sonean did it legally and hopefully the "public" will show their displeasure by not buying the stock.

Here is another example of greed.
Local funeral home and cemetery owner arrested this morning. Seems that he had spent few million that was in a trust fund for perpetual care of the cemetery on personal pleasure. Here is the link to the story.

looks like he "stepped" away from the CEO position....Mike was a constant "target"

The word is - he didn't leave - he moved UP in position to Chairman of the Board.

I know exactly how you feel Tom but unfortunately this is, the way it is !
Corporate America buries the little guys anyway.
I support every small business I can, cause I know how hard it is to compete.
Hurts my pocket at times but it makes me feel good in the long run.

I know a little bit about stock options. Sale of a company stock by insiders, particularly its executives, is regulated by complicated SEC rules (how many times you can sell, etc). If you accidentally broke the rule, even if it was unintended, you could easily end up behind bars.

Because of that, most executives actually plan the sale of their stocks, long, long before the actual sale takes place.

Let's say you are CEO of FTD. On Jan 1st of this year, you tell your accountant that you will be exercising your stock option and immediately selling them on May 1st.

Now on Apr 1st, you, as CEO, learn a terrible news about FTD, which the public will not know until two months later, Jun 1st. You go ahead and sell your stock anyway on May 1st.

SEC will not put you into jail, if you can show that you had planned the sale before you knew the bad news. It's called "affirmative defense." If you can't show the sale was pre-planned, you would be in a big big trouble.

I'm sure Mr Soenen's stock sale was planned (but I have no proof for that). He got the timing right though.

Once concerned florists here at FC, learn to focus on controlling their own businesses and business interests (aka investments) and not fret over some CEO's compensation, then, you will be at peace with your business decisions.

Trust me, 15 years ago, I used to go bonkers fretting over what a wholesaler used to charge other retail flower shops for my poinsettias, easter lilies and hydrangeas. They "made" more money than me on these plants. Or atleast they marked my plants up more than I did.


Control your business activity.

Let loose of what others do in their respective business'. Even if you are part of the those actions.

Stay focused on the important things in your life.

Find happiness or satisfying challenges in your life to make your life whole.

In the text, when I use the word "you" i mean all florists in general.

Goldfish, I don't think you have read my response yet, but I did want to make my message clear that this post wasn't directed at you.

The one interesting thing I find when reading a string like this is the comment "don't worry about it, they are a for profit company. Worry about your business."

On the surface this seems like good advice, but reality is a little different. Yes, while FTD is a for profit company and what they pay their CEO should be of little concern to us, the real fact is that those dollars they pay the CEO and those stock options all come from monies extracted from the retail floral business. These are funds that will never be used to grow our side of the business.

A second string about floral associations is being posted on. Reality is that the funding any retail florist association needs to function is being removed from the florists by the likes of FTD and being used to grow the wealth of a select few. You can't have a company like FTD removing monies from an industry sector like flowers and expect the sector to thrive, especially given the fact that the overall U.S. economy is weakening. The concerns that Mr Carlson expressed in his opening post are very real.

Oh, but you can control FTD. One side of their financials represents the florist side of their business. Every payment you make gets added to that side of their statement. It is also the most profitable side of their business. So, the money big Mike is creating for himself, is coming directly from the florists who pay it to him.

Plus every dollar you give to them in the form of the hundreds of dues and fees they keep dreaming up, means less dollars to build your own business.

The reason stock prices rise and fall is because investors feel they have a good chance of making money for themselves by buying or selling. Florists on the other hand pay their money even in the face of diminishing returns for their own businesses.

So yes you can control what happens in FTD. But if you sit back and ignore the problem, you deserve to get screwed out of your money and big Mike gets to laugh all the way to the bank.

When I stop making money - I'll recognize those facts as well.
